The global sanctions landscape is one of the most dynamic and unpredictable elements of international defence trade. The United Nations, the European Union, the United States (through OFAC), and individual countries all maintain their own sanctions lists, arms embargoes, and restricted entity databases. Shipping defence products internationally is not the same as shipping commercial goods. Controlled items require specific documentation, specialised freight forwarders with defence trade experience, customs pre-clearance in both the exporting and importing countries, and in many cases government escort or oversight during transit.
Ammunition and explosives have additional hazardous materials requirements. Classified equipment may require secure transport and cleared personnel. Large platforms like armoured vehicles or aircraft require specialised heavy-lift logistics. Many countries — particularly in the Gulf, Europe, and Asia-Pacific — require offset agreements as a condition of major defence purchases. An offset is a commitment by the seller to reinvest a percentage of the contract value back into the buyer's economy, either through direct offsets (related to the defence sector, such as local manufacturing, technology transfer, or co-production) or indirect offsets (investment in non-defence sectors like infrastructure, education, or healthcare).
Offset requirements can range from 30% to over 100% of the contract value. They are legally binding, tracked by dedicated government offset authorities, and failure to meet offset obligations can result in financial penalties or exclusion from future contracts.
For sellers entering new markets, offset obligations are not just a compliance issue — they are a strategic consideration that affects pricing, margin, and long-term market positioning. For buyers, offsets are a tool for building domestic defence industrial capacity and ensuring that procurement spending generates broader economic benefits.
In international defence trade, you are judged by the company you keep. If your buyer turns out to be a front for a sanctioned entity, you are liable. If your supplier diverts goods to an unauthorised end user, your name is on the paperwork. If your agent or intermediary is engaged in corrupt practices, you are exposed.
Due diligence in defence trade goes far beyond a standard credit check. It includes verification of the counterparty's legal status, ownership structure, and beneficial ownership. It includes screening against sanctions lists, debarment lists, and corruption databases. It includes verification of government authorisations, end-user credentials, and track record in previous defence transactions. And it includes ongoing monitoring — because a clean counterparty today can become a compromised counterparty tomorrow.
The cost of thorough due diligence is trivial compared to the cost of a compliance failure. Every company in this space should have a documented Know Your Customer (KYC) process that is applied consistently and updated regularly.
Standard commercial contracts are not sufficient for international defence transactions. Defence contracts must address export control compliance obligations, end-use and end-user restrictions, government approval contingencies, inspection and acceptance procedures specific to military specifications, warranty terms that account for the operating environment, and dispute resolution mechanisms that account for sovereign immunity and jurisdictional complexity.
They must also address what happens if a licence is denied, if sanctions are imposed mid-contract, if the political relationship between the two countries deteriorates, or if the buyer's government changes and the new administration does not honour the previous one's commitments. These are not hypothetical scenarios — they happen regularly in defence trade.
Engaging legal counsel with specific experience in international defence trade law is not optional. It is a cost of doing business in this sector.
